1. Introduction
Welcome to Carolyn Nussbaum Music Company (“CNMC,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, online store, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.
2. Acceptance of Terms
If you do not agree to these Terms, do not use the Services.
Your use of the Services is also subject to our Privacy Policy and any posted store policies (including our Shipping Policy and Returns & Exchanges Policy). If there is a conflict between these Terms and a posted policy, the posted policy controls for that topic.
3. Eligibility
You must be at least the age of majority where you live to use the Services, or have the consent of a parent/guardian. You represent that you have the legal capacity to enter into these Terms.
4. Changes to Terms
We may update these Terms from time to time. Updated Terms will be posted on our website and will apply from the effective date shown. Your continued use of the Services after changes become effective means you accept the updated Terms.
5. User Accounts
5.1 Account Creation
Some features may require an account. You agree to provide accurate, current, and complete information and to keep your account information up to date.
5.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly if you believe your account has been accessed without authorization.
6. Orders, Pricing, and Payment
6.1 Order Acceptance
Placing an order is an offer to purchase. We may accept, reject, or cancel an order (in whole or in part) for any reason permitted by law, including inventory availability, suspected fraud, errors in product or pricing information, or shipping restrictions.
6.2 Pricing and Errors
We strive to provide accurate product descriptions and pricing, but errors may occur. If an item is listed with incorrect information (including price), we may correct the error and cancel or adjust the order as permitted by law. If your payment has been processed, we will issue an appropriate refund.
6.3 Payment
By submitting payment information, you represent that you are authorized to use the payment method provided. We may use third-party payment processors to process transactions.
6.4 Taxes and Promotions
Applicable taxes (and, where relevant, duties/fees) may be added at checkout. Promotions, discounts, and coupon codes are subject to posted terms and may be modified or discontinued at any time.
7. Shipping, Delivery, and Returns
Shipping methods, delivery estimates, signature requirements, and address restrictions are described in our Shipping Policy. Returns, exchanges, and eligibility rules are described in our Returns & Exchanges Policy. These policies are incorporated into these Terms by reference.
Delivery estimates are not guarantees and may be affected by carrier delays, weather, customs, or other events outside our control.
8. Instruments, Trials, and Special Items
Certain products (including instruments, special orders, sheet music, and other designated items) may be final sale or non-returnable as described in our Returns & Exchanges Policy.
If we offer a trial program, it is governed by the terms presented as part of that program and any applicable store policies.
9. Intellectual Property
All content on the Services (including text, images, graphics, logos, product data, and site design) is owned by CNMC or our licensors and is protected by intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works from, or exploit any content without our prior written consent, except as allowed by law.
10. User Content (Reviews and Submissions)
If you submit reviews, comments, or other content to the Services, you represent that you have the rights to share it. You grant CNMC a non-exclusive, worldwide, royalty-free license to use, reproduce, publish, display, and distribute that content in connection with our business (for example, displaying reviews).
You agree not to submit content that is unlawful, infringing, defamatory, obscene, or otherwise harmful.
11. Acceptable Use
You agree not to use the Services in a way that:
- Violates any applicable law or regulation.
- Infringes the rights of others.
- Attempts to interfere with or disrupt the Services, including by introducing malicious code.
- Attempts to gain unauthorized access to accounts, systems, or data.
- Is fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable.
We may suspend or terminate access to the Services if we reasonably believe you have violated these Terms.
12. Disclaimers
The Services and all products are provided on an “AS IS” and “AS AVAILABLE” basis, to the fullest extent permitted by law. We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you.
13. Limitation of Liability
To the fullest extent permitted by law, CNMC will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or related to the Services or any purchase.
To the extent CNMC is found liable for any claim, our total liability will not exceed the amount you paid to CNMC for the product(s) giving rise to the claim.
Some jurisdictions do not allow limitations of liability for certain damages, so some of the above may not apply to you.
14. Indemnification
You agree to indemnify and hold harmless CNMC and our officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms or your misuse of the Services.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising under these Terms will be brought in the state or federal courts located in Texas, and you consent to their jurisdiction.
16. Miscellaneous
- Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
- No Waiver: Failure to enforce a provision is not a waiver of our right to do so later.
- Entire Agreement: These Terms, together with the referenced policies, form the entire agreement between you and CNMC regarding the Services.
